Business Restructuring Review Vol. 25 No. 4 July-August 2026

In This Issue New York Bankruptcy Court: Premature Allegations of Creditor Mistreatment Insufficient to Deny Chapter 15 Recognition of Foreign Restructuring Proceeding In In re ARD Finance, S.A., No. 25-12794 (MG), 2026 WL 817458 (Bankr. S.D.N.Y. Mar. 25, 2026), the U.S. Bankruptcy Court for the Southern District of New York was presented with a petition seeking chapter 15 recognition of Luxembourg's recently enacted bankruptcy law governing judicial reorganization proceedings. The court granted the petition, turning aside challenges to recognition voiced by a creditor group arguing that recognition should be denied based upon allegations of unfairness to creditors in the Luxembourg proceeding that would make recognition manifestly contrary to U.S. public policy. According to the bankruptcy court, recognition was warranted because: (i) the rules and procedures governing the proceeding under Luxembourg law were fundamentally fair; (ii) the petition otherwise satisfied chapter 15's recognition requirements; and (iii) the creditor group's allegations were premature, given the fact that the Luxembourg court presiding over the debtor's restructuring proceeding had not confirmed a restructuring plan, and all creditors had the right to participate fully and voice their objections in the proceeding (including the right to appeal an order approving a plan). Apr. 6, 2026), the U.S. Bankruptcy Court for the Southern District of Florida granted in part and denied in part post-recognition motions filed by an insider of a foreign debtor seeking to bar or limit discovery sought by the debtor's foreign representative concerning allegedly voidable transfers involving the debtors' U.S. real property. According to the court: (i) although chapter 15 includes its own discovery provisions among the relief that may be granted to a foreign representative, the expansive discovery available in cases under other chapters of the Bankruptcy Code is also available in chapter 15 cases; (ii) the discovery sought by the foreign representative was permissible; (iii) discovery regarding matters that were the subject of a pending adversary proceeding had to be undertaken under the more restrictive rules applicable to such proceedings; and (iv) a discovery request would be barred to the extent that it sought production of documents or testimony from a subpoenaed entity that exceeded the geographic limitations specified in such rules. (In re Credito Real S.A.B. de C.V. SOFOM, E.N.R.), 677 B.R. 192 (D. Del. 2026), appeal filed, No. 26-2356 (3d Cir. June 5, 2026), the U.S. District Court for the District of Delaware affirmed a bankruptcy court order granting chapter 15 recognition to a Mexican "concurso mercantile" proceeding and enforcing nonconsensual third-party releases approved by the Mexican court. Agreeing with the bankruptcy court that the releases were not manifestly contrary to U.S. public policy, the district court concluded: "It is well settled that U.S. bankruptcy courts can give effect to foreign orders in recognized foreign proceedings pursuant to the authority granted in Chapter 15, even when those orders contain relief unavailable under U.S. law. [The appellant's] arguments misconstrue the Supreme Court's narrow holding in Purdue, applicable in Chapter 11 cases, as well as the statutory framework of Chapter 15 and its core policy objectives. Accordingly, I will affirm the Enforcement Order." The ruling has been appealed to the U.S. Court of Appeals for the Third Circuit. EP Energy E&P Co., LP (Matter of EP Energy E&P Co., LP), 169 F.4th 609 (5th Cir. 2026), the U.S. Court of Appeals for the Fifth Circuit affirmed lower courts' rulings disallowing a creditor's administrative expense claim. It also rejected the creditor's argument that, because the claims were predicated on state law, a state court should adjudicate the merits of the state law causes of action before the bankruptcy court could allow or disallow the claim as an administrative expense. According to the Fifth Circuit, even though the causes of action were based on state law, the bankruptcy court had jurisdiction to determine whether the creditor's claims should be conferred with administrative expense priority in the debtors' chapter 11 case. [read more …] New York Bankruptcy Court: Dismissal of Involuntary Chapter 11 Case Filed Prior to Commencement of Foreign Restructuring Proceeding Unwarranted In In re Xinyuan Real Estate Co. Ltd., No. 25-10745 (PB), 2026 WL 592250 (Bankr. S.D.N.Y. Mar. 3. 2026), the U.S. Bankruptcy Court for the Southern District of New York considered the bona fides of an involuntary chapter 11 petition filed by certain holders of U.S. dollar-denominated notes against a holding company for a group of Chinese property development companies that filed a restructuring proceeding in the Cayman Islands after the noteholders filed the involuntary chapter 11 petition. The court denied the debtor's motion to dismiss the chapter 11 case. Given the timing of the filing of the Cayman Islands restructuring proceeding, the absence of any progress in the proceeding for seven months, the debtor's need to restructure notes governed by U.S. law, and the debtor's lack of any meaningful contacts to the Cayman Islands, dismissal of the chapter 11 case was unwarranted under the applicable provision of the Bankruptcy Code, international comity, or the doctrine of forum non conveniens. Union, No. 24-70277-JAD, 2026 WL 560452 (Bankr. W.D. Pa. Feb. 27, 2026), a chapter 7 trustee sought court approval to sell certain avoidance actions to a creditor of the debtor's estate. Potential targets of the subject avoidance actions objected, arguing that such claims were nontransferable powers of the trustee rather than saleable estate property and urging the court to approve their competing settlement with the trustee. The U.S. Bankruptcy Court for the Western District of Pennsylvania disagreed with the potential defendants, holding that they lacked standing to object to the proposed sale, that avoidance actions are indeed estate property, and that the sale—rather than the settlement—best served the estate's interests. [read more …] U.S. Supreme Court Bankruptcy Roundup in Brief In Keathley v. Buddy Ayers Construction Inc., No. 25-6, 2026 WL 1686028 (U.S. June 11, 2026), the U.S. Supreme Court overturned a Fifth Circuit decision judicially estopping a chapter 13 debtor from asserting a personal injury claim against a construction company because the debtor failed to disclose the claim during his bankruptcy case. In so ruling, the Court held that "[t]he Fifth Circuit erred by artificially narrowing its inquiry to whether the debtor had knowledge of the underlying facts or a potential motive to conceal the claim." It represents the first time that the Court has applied judicial estoppel in the bankruptcy context, although it has suggested in other contexts that it may be inappropriate where an inconsistent legal position resulted from "inadvertence or mistake." Also in June, the Court denied petitions for certiorari in a few notable bankruptcy cases. The opinion resolves six years of litigation related to Serta's 2020 transaction, where it raised $200 million in new financing and exchanged $1.2 billion of term loans for $875 million in superpriority debt. Judge Lopez found that the debt-for-debt exchange constituted a "payment" under the credit agreement, requiring proportional sharing among lenders, and dismissed various defenses raised by the participating lenders. Debt Digest | Federal Debt is a Health Care Problem

Welcome David Ditch to the Debt Dispatch! We are pleased to announce a new regular contributor: David Ditch will be joining the Cato Institute as a Policy Analyst for Budget and Entitlement Policy later this week. David has more than a decade of experience in fiscal policy issues, with a particular focus on federal spending. He previously worked at the Senate Budget Committee, the Heritage Foundation, and the Economic Policy Innovation Center. David’s areas of expertise include appropriations, transportation, agriculture, federalism, grantmaking, and policy options for deficit reduction. Originally from the Rochester, N.Y. area, David has a BA in Economics and Political Science from the University of Rochester and a MA in Political Management from George Washington University. David currently lives in Arlington, VA. You may have enjoyed his earlier guest posts: CBO: New Highway Bill Has More Spending, Taxes, and Deficits Trump Administration’s Proposed Changes to Federal Grants Highlight Problems of Big Government Here are this week’s reading links and fiscal facts: The federal debt is largely a health care problem. In a new report, the Congressional Budget Office and Joint Committee on Taxation find that “In 2026, federal subsidies for health insurance, net of related payments to the government, are projected to equal $2.4 trillion, or 7.4 percent of gross domestic product (GDP). In CBO and JCT’s projections, those subsidies grow by 65 percent, reaching $3.9 trillion, or 8.4 percent of GDP, in 2036. Subsidies for Medicare contribute most to that overall growth, increasing by $900 billion. Over the entire 2026–2036 period, federal subsidies for health insurance total $33.6 trillion.” Cato’s Michael Cannon emphasizes, “The long-term federal debt problem is a health care problem. […] Only two categories of federal outlays will grow faster than gross domestic product (GDP): health care subsidies and interest payments on the debt. The former is, therefore, the primary driver of the latter.” The bond market fears deficits, not the loss of tariff revenue. Responding to a New York Times essay claiming tariff revenue has grown too important for a future administration to unwind, Cato’s Kyle Handley argues: “Bond investors are not attached to customs duties as a line item revenue source. They care about the government’s overall fiscal position.” He continues, “tariff revenue is a side hustle. And the Trump administration has already promised to dole out the funds through schemes like tariff dividend rebates, farm subsidies, and pay-fors on tax cuts or other spending.” Furthermore, “tariff revenue is simply not large enough to transform the government’s fiscal trajectory.” Take net interest for example: it “reached $970 billion in fiscal year 2025, absorbing 18.5 percent of federal receipts. Customs duties accounted for only 3.7 percent of receipts—and that was before refunds (see Figure 2).” Handley concludes, “The real bond-market concern is a large and growing interest bill, persistent budget deficits, and a political system unwilling to bring spending and revenue into alignment.” Medicare’s spending growth is driven by more volume and utilization. A Congressional Research Service report finds that Medicare spending “grew at an average annual rate of 7.3%” from 1985 through 2025, and the trustees project health care expenditures will keep rising “faster than gross domestic product (GDP) in most future years.” Citing CBO, the report attributes Medicare’s projected 2026–2036 spending growth to “23% from higher enrollment, 31% from inflation, and 47% from the growth of inflation-adjusted spending per beneficiary. In other words**, the largest single driver of Medicare spending growth during the next decade is expected to be higher volume and intensity of health care services.”** Boccia and Thakur explain: “as the economy grows, Medicare spending tends to grow at least as fast—and often faster—because the program automatically pays the bill for more and more healthcare consumption by seniors, even as prices rise.” The Fed has little control over market interest rates. Cato’s Jai Kedia documents that the Fed has held its rate target steady since December, yet “nearly every rate Americans actually borrow at has climbed over the same stretch.” Kedia continues, “The Fed did nothing, and the cost of credit went up anyway. […] Markets spent these months repricing macroeconomic events such as sticky core inflation, a volatile energy market driven by the conflict in the Middle East, and global trade disrupted by tariffs, among others. None of that required a policy change to show up in borrowing costs because markets, not the FOMC, set prices.” He concludes, “Accurately priced borrowing rates will come from credible disinflation and disciplined budgets and from a Fed content to follow the economy rather than pretend it leads it.” Nearly half of US farm income comes from taxpayers. Former Reagan OMB director David Stockman notes that “in the most recently completed full year (FY 2025) farmer incomes in the US totaled $97.8 billion, but fully 42.7% or $41.8 billion of that amount came from taxpayers, not the marketplace. Nor is this some kind of one-year aberration. If we look at the most recent decade as a whole, total farm income posted at nearly $708 billion, but, as indicated, fully $322 billion or 45% of this came compliments of US taxpayers.” Cato’s Chris Edwards explains why so little of that income is market-earned: “Farmers are businesspeople, but the government shields them from just about every type of weather and market risk. Furthermore, just about every part of the agricultural industry is subsidized, including insurance, loans, marketing, research, export sales, and land improvements.” The Debt Dispatch is a reader-supported publication. Caesars Entertainment (CZR) Stock Faces Debt Strain Despite Narrower Quarterly Loss

Caesars Entertainment stock barely flinched after earnings, slipping only 0.6% to about US$29.77, yet the headline numbers still ask investors to be patient. The casino operator posted another quarterly loss, with basic earnings per share of US$0.30 in the red and net income excluding extra items also in loss territory. That keeps the focus on a slower burn story. The real question now is whether Caesars can turn a low price-to-sales multiple and a multi-year profitability goal into something...

They're Building Half A Bridge to Save Science...

Today’s post is about science: what you can do now to protect it from unprecedented threats, and how your action is the first half of a long-term program that Congress must take up next. Let me start with describing the embryonic state of science advocacy. There are many well-meaning organizations: the American Association for the Advancement of Science, Research!America, and subject-specific organizations such as the Society for Neuroscience and the American Physical Society. Their general approach is to emphasize the common good: the remarkable value that science and innovation have provided to all Americans. However, these organizations are offering an incomplete solution. Before I start, a preliminary: If you already know about the threat, go ahead and weigh in with OMB at this link. Ideas about what to say come from Research!America and the American Physical Society. You have until Monday, July 13 at 11:59pm Eastern. Then come back here and read the rest of this post. Finally, get in touch with whoever is likely to be your next member of Congress in 2027. The threat: An end to merit-based science… The onslaught of attacks on science is accelerating. It’s not just cuts to grants, which was the last battle. That battle is not done yet, but there is a new and worse threat. Now comes a proposed public rule from the Office of Management and Budget. The rule would take decision-making power over grants away from experts and put it into the hands of political appointees. Former NIH official Elizabeth Ginexi wrote an excellent summary of what OMB is trying to do, which is codify the executive branch’s ability to award or terminate grants, for arbitrary cause or no stated cause. Since World War II, a necessary step in scientific grant-making has been consideration of scientific merit. This approach has made America into a dominant scientific superpower, the envy of the world. Of course, political considerations do come into the mix. The proposed rule tilts the balance dramatically away from merit. …but why? Many people have difficulty comprehending why Russell Vought and OMB would want to damage science in this way. If you’re a working scientist, you are likely to be particularly uncomprehending. Who would hurt an activity so self-evidently good? The answer is: this is part of the program to replace the rule of law with a personalist regime. OMB Director Russell Vought, a Christian nationalist, would like to implement what legal scholars call a “unitary executive,” and what I would call a dictatorship. Or if you like, a personalist authoritarian regime. I am a working scientist. This rule will debilitate my research. It may chill the speech of scientists for speaking freely in the public sphere. It is a form of personalizing power and decision-making within the executive branch. In short, it sacrifices science in the service of tyranny. To Russell Vought, a decrease in the quality of science might be an acceptable cost. He might even consider it an added benefit to weaken a pillar of soft U.S. power based on knowledge and skepticism. The professional societies are building half a bridge The nonprofits are asking you to make public comment. Public comment is like building the first half of a bridge. Before implementation, OMB is compelled by law to have a period of public comment. Rules have to be consistent with the law and the Constitution. They express the federal government’s stance toward how those laws will be implemented. When a presidential administration works in good faith, these public comments are used to inform their eventual action, and sometimes mitigate it. The comment period reflects our First Amendment right to petition our government. The executive branch is then supposed to take those comments into account - completing the bridge between us, the people, and our government. Project 2025 seeks to take away the second half of the bridge. We have to replace it. The first half of the bridge Organizations like AAAS, Research!America, and SfN are partly right. You should certainly comment. Their core model is earnest: if enough of us make noise, then we will achieve change. This idealistic point of view is offered in good faith. That point of view is also currently bullshit. The fundamental reason is that the federal rulemaking process has two parts: There has to be a period of public comment. OMB makes the final rule…but is free to disregard public comment. Oops. That’s a loophole. However, not all is lost. Congress can complete the bridge Congress has enormous power. That power suggests a roadmap for how to proceed. This lawless administration is still going to issue that rule. Nonetheless, your comments still play an essential role. Here are two steps you can take. Step 1: Send your comment to your Representative and Senator. Whether they are Democrats or Republicans, many of them support science. Whatever you wrote as public comment in the Federal Register, also send it to your member of Congress. You can include information about jobs in your district or state by looking at Joshua Weitz’s ScienceMatters interactive map. Call the U.S. Capitol switchboard at (202) 224-3121 and give your town, zip code, or state, then deliver your message. Step 2: Politicize the hell out of science. You heard me, politicize it as an issue. We hear a lot from the old scientific establishment about science being nonpartisan. This is obsolete, sentimental thinking. Under normal conditions, it was true. But we can no longer make that assumption. We can keep on pretending, but we’re putting science at risk. There is a way forward. Rules are subordinate to the law…and Congress makes laws. Therefore Congress can step in. In this fall’s election, it is likely that Democrats will retake the House of Representatives. That puts at least one chamber of Congress in the hands of Democrats. They are far more inclined than the current Congress to investigate and legislate. This opens a path to undoing the damage. It also creates a permission structure for pro-science Republicans to find a way back from the brink. We have to encourage them. In the House, every district is up every two years. In your district, contact both of the major party candidates. If your state has a Senate race, contact those candidates too. Specifically mention the proposed OMB rule. Ask for two things: For this year’s appropriations process in August and September, ask that amendments be added to stop the implementation of the new rule. Those amendments should support peer-reviewed science and stop political interference. Looking ahead to next year, ask the Congressman/Congresswoman/Senator to work to hold hearings in 2027 on the importance and benefits of peer-reviewed science for health and prosperity. What hearings and amendments will accomplish Congress can use its investigatory power to summon heads of agencies and the director of the OMB. That will allow fact-finding regarding the consequences of this rule. Congress can override the rule through the appropriations process. They can write into statute a requirement to follow peer review and best scientific practices. In this way, Congress can stop the attacks on science. Postscript: Moving forward Now I have a request for you, to help me. As many of you know, I ran for Congress in order to save democracy and science. Although I did not win, that battle continues by other means. I met and heard from thousands of supporters both here in New Jersey and nationally. I learned that pro-science, pro-democracy activists have the potential to become a much greater force. In the weeks and months ahead, I will be building ways to harness that energy. I will be announcing those plans soon. In the meantime, an important step is to wind down the Congressional campaign, which has a few remaining bills to pay. Please help me retire that last debt.

Indiana: Stop playing politics with kids' food.

In Indiana, over 650,000 kids are without consistent meals this summer because the state opted out of an important federal food program. I just introduced a bill to change that. The Summer Electronic Benefits Transfer (Summer EBT) program is designed to fill a gap for kids who typically rely on free meals at school. It’s a win-win program: the federal government covers the cost of the food benefits. Congress has already approved it, and it’s set to go — signed, sealed, and ready to be delivered to 650,000 Hoosier kids in need. That’s how the program works in other states.
